The Short Version
- By installing Prism for Jira, you agree to these terms.
- You get a limited license to use the app inside Atlassian environments — not to resell or reverse-engineer it.
- Billing is handled by Atlassian Marketplace — contact Atlassian for billing disputes.
- The app is provided “as is.” Infrastructure uptime is Atlassian’s responsibility.
- You can stop at any time by uninstalling the app.
1. Acceptance of Terms
By installing, accessing, or using Prism for Jira (“the App”), you (“Customer,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you are agreeing on behalf of an organization, you represent that you have the authority to do so. If you do not agree to these Terms, do not install or use the App.
These Terms apply in addition to, and do not supersede, the Atlassian Marketplace Terms of Use, which govern the purchase and distribution of apps on the Atlassian Marketplace.
2. The App and the Forge Platform
Prism for Jira is an app built on the Atlassian Forge platform and distributed through the Atlassian Marketplace. The App runs entirely within Atlassian’s infrastructure. OpsShark does not operate independent servers or infrastructure for the App. Availability and performance of the underlying Forge platform are the responsibility of Atlassian, not OpsShark.
3. License Grant
Subject to your compliance with these Terms and payment of applicable fees, OpsShark grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the App solely within your Atlassian Jira and Jira Service Management environment for your internal business purposes.
This license does not include the right to: copy, modify, or create derivative works of the App; reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App; redistribute, resell, sublicense, or otherwise transfer the App to any third party; remove or alter any proprietary notices or labels on the App; or use the App in any way that violates applicable law or these Terms.
4. Permitted Use
The App is designed for use within Atlassian Jira and Jira Service Management environments as described in the App documentation. You agree to use the App only for its intended purpose of connecting JSM requests to Jira Software work items and surfacing progress information.
5. Prohibited Use
You agree not to use the App to: violate any applicable laws or regulations; infringe any intellectual property or proprietary rights; transmit malicious code, viruses, or harmful data; attempt to gain unauthorized access to any systems or data; interfere with or disrupt the integrity or performance of the App or Atlassian’s infrastructure; or use the App in a manner inconsistent with Atlassian’s Marketplace policies or platform terms.
6. Atlassian Marketplace Terms
The App is distributed through the Atlassian Marketplace. Your use of the App is also subject to Atlassian’s Marketplace Terms of Use and Atlassian’s Cloud Terms of Service, which are incorporated herein by reference. In the event of a conflict between these Terms and Atlassian’s terms with respect to Atlassian’s platform, Atlassian’s terms shall govern.
7. Pricing and Billing
Pricing for the App is listed on the Atlassian Marketplace. All billing, invoicing, and payment processing are managed exclusively by Atlassian through the Marketplace. OpsShark does not process payments directly and is not responsible for billing disputes, refunds, or chargebacks. For billing issues, contact Atlassian Support.
Fees are subject to change. OpsShark will provide reasonable notice of pricing changes through the Atlassian Marketplace listing.
8. Intellectual Property
The App, including all software, design, and documentation, is the proprietary property of OpsShark and is protected by intellectual property laws. These Terms do not transfer any ownership rights to you. All rights not expressly granted are reserved by OpsShark.
9. Disclaimer of Warranties
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OPSSHARK DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS.
Because the App runs on the Atlassian Forge platform, OpsShark makes no representations or warranties regarding the availability, uptime, or performance of the underlying infrastructure, which is solely Atlassian’s responsibility.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPSSHARK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE APP OR THESE TERMS, EVEN IF OPSSHARK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OPSSHARK’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE APP IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless OpsShark and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; or (c) your violation of any rights of a third party.
12. Termination
Either party may terminate these Terms at any time. You may terminate by uninstalling the App from your Atlassian environment. OpsShark may terminate or suspend your access to the App with or without notice if you breach these Terms or if required by Atlassian’s platform policies.
Upon termination, the license granted herein immediately ceases, and all App data stored in Forge KVS will be deleted in accordance with Atlassian’s uninstall data deletion policies. Sections 8, 9, 10, 11, 13, and 14 of these Terms survive termination.
13. Changes to These Terms
OpsShark reserves the right to modify these Terms at any time. We will update the “Last Updated” date at the top of this document. If the changes are material, we will provide notice through the Atlassian Marketplace listing. Your continued use of the App after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the App and uninstall it.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Texas, and each party consents to personal jurisdiction in such courts.
15. Miscellaneous
These Terms constitute the entire agreement between you and OpsShark with respect to the App and supersede all prior agreements. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. OpsShark’s failure to enforce any right or provision shall not constitute a waiver of that right.
